A Duke of her Own by Lorraine Heath

Lady Louisa Wentworth is a woman who has accepted the reality of her family's impoverishment. She has decided to start working as a companion to the daughters of a wealthy American family because she has reached the age of 26 and unmarried due to her family's poverty. She decides to use her title to earn her wages and find husbands with titles for the American girls.
Hawk, the Duke of HawkHurst, is an impoverished Duke and decides that taking a wealthy American wife is the perfect way to refill the family coffers. Hawk has been the good friend of Louisa's brother, the Earl of Ravensly, for many years, so when Ravensly tells him of Louisa's charges, and begins to pursue one of her young charges. Louisa, who knows of Hawk's reputation as a womanizier, fends of his advances towards his charges, even though she herself has been secretly attracted to him for years. As Hawk courts the heiress, Jenny Rose, he finds himself attracted to her chaperone more, and he begins constantly fighting his body's urges that push him toward Louisa instead.
Hawk, frustrated with himself and his slow courtship, decides to take matters in his own hands and sets up a scenario to compromise Jenny and himself, only Louisa walks into the setup instead, and unable to deny himself, decides to take her just once before commiting himself to Jenny. Hawk's trap works too well, and ends up being caught with Louisa instead and is forced to wed her instead.
